ABOUT THIS OPPORTUNITY!
Reporting to the Head of M&A Compliance, the M&A Compliance Officer will support the Head M&A Compliance in providing compliance oversight and guidance with respect to Ericsson’s mergers and acquisitions activity globally.
The Compliance Office within Group Function (GF) Legal Affairs & Compliance develops and maintains Ericsson’s ethics and compliance program. The Compliance Office has the group responsibility for three compliance areas: Antitrust (compliance with competition law), Anti-corruption (compliance with corruption and bribery law) and Anti-money laundering (compliance with AML). The Compliance Office also supports compliance teams in the Market Areas or operational units.
WHAT YOU WILL DO
Provide support in developing a culture of compliance, setting an example for clarity and promoting an environment where speaking up in a professional manner is encouraged.
Act as the Lead for day-to-day compliance M&A due diligence activity, participating as the compliance function’s lead representative in all mergers and acquisitions, including leading and conducting anti-corruption due diligence related to potential transactions.
Act as the Lead for day-to-day management and execution of M&A-related integration activities and participating as the compliance function’s representative in all integration and divestment projects, including leading and/or conducting anti-corruption due diligence related to potential transactions.
In cases where acquired entities will remain standalone business units, create and implement comprehensive compliance plan aligned with Ericsson’s compliance requirements.
Manage a team of compliance and certification personnel working on compliance related topics for due diligence activity, integration, and divestment projects, including anti-corruption and trade compliance.
Ensure newly acquired companies are integrated into the company’s ethics and compliance program and anti-corruption controls in a timely and orderly fashion, often working with Compliance Office personnel across Ericsson’s operations.
Provide advice to M&A colleagues on compliance-related concerns, including how to accurately address red flags discovered during the due diligence process.
Maintain regular, scheduled communications with Head of M&A Compliance to routinely align on priorities, resources and action items.
Provide relevant training to Ericsson colleagues involved in M&A, integration, non-wholly owned companies and divestments on anti-corruption compliance, including advice on identifying red flags.
Ensure that conflict of Interest disclosures are submitted timely, review any potential conflicts of interest and ensure that any identified red flags are properly addressed.
Provide regular updates to executives and management teams, the greater compliance organization and others as needed regarding M&A due diligence topics, including relevant Key Performance Indicators (KPIs).
Manage and apply an encrypted system to store all material. Maintain a sound understanding of the relevant business activities and applicable laws and regulations.
Work closely with M&A Legal, M&A Integration Lead, and external legal counsel (on an ad hoc basis) to ensure that risks and issues identified by the Compliance workstream are accurately addressed in the agreements, integration, and remediation activities.
Remain current on changes to relevant legal requirements, and regularly review and suggest revisions to M&A Compliance relevant policies, procedures and workbooks.
Assist in the preparation of scheduled reports and presentations.
YOU WILL BRING
- High level of Integrity character consistent with Ericsson’s values of respect, professionalism and perseverance; must be insightful and willing to listen.
- Mergers, acquisitions, and divestment experience within a law firm or in-house legal department.
- Anti-corruption compliance experience.
- An Indepth understanding of process flows within a large corporate environment, comfortable working with impactful teams on time-sensitive projects.
- Experience supporting executives and teams on confidential matters in large multinational corporations.
- Good networking and communication skills including the ability to handle internal and external contacts.
- Independent, goal-oriented and detailed way of working.
- Fluent in English, second language desirable.
- Attention to detail and problem-solving skills.
