We are looking for an experienced US/UK corporate/securities lawyer to join the legal team. This exciting position can be based in Sweden or in the UK.
Let us describe the challenge we offer
In September 2021, Polestar announced its intention to list as a public company on the Nasdaq in a business combination agreement with Gores Guggenheim, Inc. While Polestar is a global business headquartered in Sweden, the group parent intended to be listed will be incorporated in the UK. Now we are looking for an experienced lawyer with UK corporate and US securities law expertise to join the legal team. This lawyer will be a key member of the legal team, serving as a business-oriented legal advisor and providing strategic and first-class legal support with respect to corporate governance and securities law compliance, securities regulation, equity plan development, as well as broader UK corporate matters.
This role provides the opportunity to join a great team at an exciting time for the business transforming from a privately held company through the plan to become a Nasdaq listed business.
The preference is for the successful candidate to be based at the Swedish headquarters in Gothenburg, or in the UK. What you'll do
Key responsibilities:
- Primary legal responsibility for all public company filings, advising on securities issues, disclosure matters and external reporting, preparing, reviewing and filing SEC reports and filings, including registration statements, proxy materials, annual, quarterly and current reports, as well as other potential reports.
- Lead or assist in capital markets and other strategic transactions, including M&A and corporate financing transactions (e.g., preferred stock offerings, debt offerings).
- Assist with general corporate matters, including governance issues and corporate policies and procedures.
- Handle/support duties of Company Secretary and as such maintain the custody and supervision of the minute books and other corporate records of the company.
- Work closely with the General Counsel in supporting Polestar's Board of Directors, preparation of Board materials and assisting with onboarding of new directors.
Who you are
You have 5-7 years’ post qualification experience and have worked in a leading US or international law firm with a deep capital markets practice. Additional inhouse experience would be desirable but not essential. You are a subject matter expert in UK corporate law and US public company securities law, combining legal experience with commercial instincts and the interpersonal skills required to function successfully in a highly visible, commercial, and legally challenging position.
